What risks do sellers face in medical equipment financial leasing?
The seller's contractual counterparty is the leasing company, not the hospital. If the leasing company defaults, the seller cannot directly claim payment from the hospital. In multi-layered contract structures, the seller may bear the largest credit risk exposure in the entire transaction chain.
Are debt isolation clauses in capital increase agreements valid?
A capital increase agreement stipulating that pre-increase company debts are borne by original shareholders is valid internally between shareholders but cannot be asserted against bona fide third parties (external creditors). Creditors may still claim against the company, which may then seek reimbursement from original shareholders per the agreement.
Are "pay-when-paid" clauses still effective after a subcontract is declared invalid?
Upon contract invalidation, all clauses (including "pay-when-paid" conditions) become ineffective. The contractor cannot refuse payment to the actual builder on the ground that payment conditions have not been met, though the specific amount may be determined by reference to the contract terms.
What should employers consider before terminating employment for "serious misconduct"?
Two conditions must be met: (1) the internal rules underwent democratic procedures and were communicated to the employee; (2) the employee's conduct genuinely violated those rules, supported by sufficient evidence. Direct termination carries significant legal risk — a "graduated discipline" approach is recommended.
Can contract photocopies serve as evidence when originals are lost?
If the counterparty denies the document, photocopies have extremely limited probative value. Even with circumstantial evidence forming a chain, courts may still refuse to admit the evidence if the original cannot be produced. Best practice: sign and retain originals simultaneously.
What legal compliance issues arise in overseas expansion?
Companies expanding abroad must address foreign investment access, cross-border capital flows, tax compliance, labor and employment, IP protection, and other legal issues. A comprehensive legal compliance due diligence is recommended before project launch.
